By downloading and using the GigHerald mobile application, you engage in our "Service" and agree to be bound by these Terms of Service. Please read them carefully — they cover your rights, our responsibilities, subscription billing, financial disclaimers, and user privacy. These Terms apply to all users, including 14-day free trial users and active Pro subscribers.

1. Overview

This website and application are operated by Fitcrafts LLC, a Texas Series LLC. Throughout the site, the terms "we," "us," and "our" refer to Fitcrafts LLC. GigHerald is a mobile application available on the Google Play Store. The website at gigherald.com is a marketing and legal information site only — it does not provide access to the application itself.

Fitcrafts LLC offers this Service, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

2. Eligibility

By agreeing to these Terms, you represent that you are at least 18 years of age or the age of majority in your state or province of residence. GigHerald is intended for use by independent workers, freelancers, and self-employed individuals managing their professional schedules and earnings.

You may not use our Service for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction. A breach of any of these Terms will result in immediate termination of your access to the Service.

3. Financial Disclaimer

No Financial or Tax Advice

The material provided — including AI-generated earnings estimates, deduction suggestions, quarterly tax estimates, mileage calculations, and income projections — is for general informational and organizational purposes only. It must not be relied upon as professional financial or tax advice. Always consult a licensed CPA or tax professional before making financial decisions or filing taxes.

Accuracy Disclaimer

Earnings calculations, tax estimates, and deduction figures generated by GigHerald are estimates based on the data you provide. GigHerald makes no guarantee of accuracy, completeness, or fitness for any particular purpose regarding financial figures displayed in the app. Actual tax liability may differ significantly.

Assumption of Risk

Any reliance on the financial organization tools or AI-generated recommendations in GigHerald is at your own risk. By using GigHerald, you expressly assume all risks associated with financial decisions made based on information within the app.

Mileage Deductions

Mileage figures tracked in GigHerald are based on values you manually enter. GigHerald does not guarantee that these figures meet IRS or CRA requirements for mileage deduction claims. Consult a tax professional for guidance on deductible mileage.

4. Service Modifications & Pricing

Prices for GigHerald Pro subscriptions are subject to change. We will provide at least 30 days' notice before any price change affects existing subscribers. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at our sole discretion.

We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

5. AI Personalization & Third-Party Tools

We provide you with access to third-party AI services and tools — including Google Gemini for AI coaching and receipt/earnings analysis, Google AdMob for advertising, and Google Play Billing for subscription management — over which we have limited control.

"As Is" Clause

You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

AI Inaccuracies

You acknowledge that AI-generated responses — including earnings insights, deduction suggestions, financial coaching, and receipt scan results — may be inaccurate, incomplete, or misleading (commonly referred to as "hallucinations"). Fitcrafts LLC does not manually review every AI-generated output. The final decision on the accuracy and applicability of any AI-generated financial recommendation remains solely with the user.

AI Data Transmission

When generating personalized insights, your profile and financial history are securely transmitted to Google Gemini AI via Firebase Cloud Functions. No client-side API keys are exposed. Your data is not used to train AI models.

6. Client Contacts & SMS Drafts

Client Contact Information

Client names, phone numbers, and addresses you enter into GigHerald are stored in your private cloud account and are used solely to display client details within your account, enable appointment creation, and facilitate one-tap calling and SMS drafting from within the app. You are solely responsible for ensuring you have appropriate consent from your clients to store their contact information.

SMS Reminder Drafts

GigHerald's reminder feature opens your device's native messaging app with a pre-composed message. GigHerald does not send SMS messages on your behalf, does not access your SMS inbox, and does not log or transmit SMS content to our servers. You retain full control and responsibility over any message sent from your device.

7. Mileage Tracking

Mileage tracking in GigHerald is manual entry only. You are responsible for accurately logging miles driven. GigHerald does not access your device's GPS or location hardware for mileage tracking. Mileage figures are used to calculate earnings and provide deduction estimates — these are approximations only and should be verified by a tax professional before claiming deductions.

8. User Comments, Feedback & Submissions

If you send us feedback, suggestions, or other materials — whether through the app, email, or otherwise — you agree that we may use such feedback to improve the Service without any obligation to you. We are under no obligation to maintain submissions in confidence, pay compensation for submissions, or respond to submissions.

9. Errors, Inaccuracies & Omissions

Occasionally there may be information in the Service that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, or feature availability. We reserve the right to correct any errors and update information at any time without prior notice.

10. Prohibited Uses

You are prohibited from using the Service or its content:

For any unlawful purpose or to solicit others to perform unlawful acts
To violate any international, federal, state, or provincial laws or regulations
To infringe upon intellectual property rights of others
To submit false or misleading financial information
To upload or transmit viruses, worms, or destructive code
To attempt to gain unauthorized access to other users' accounts or data
To use automated tools, bots, or scripts to access or scrape the Service
To interfere with or circumvent the security features of the Service
To use the app to facilitate fraudulent tax filings or financial misrepresentation

11. Disclaimer of Warranties & Limitation of Liability

We do not guarantee that your use of our Service will be uninterrupted, timely, secure, or error-free. The Service and all products delivered through it are provided "as is" and "as available" without any representation, warranties, or conditions of any kind, either express or implied.

Our total cumulative liability to you shall not exceed the amount paid by you (if any) in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation may not apply to you.

12. Class Action Waiver

To the full extent permitted by law:

No arbitration or legal proceeding shall be joined with any other proceeding
No dispute shall be arbitrated or resolved on a class-action basis or on behalf of any purported class
No legal proceeding shall be brought in a representative capacity on behalf of the general public or any other persons

13. Indemnification

You agree to indemnify, defend, and hold harmless Fitcrafts LLC and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand — including reasonable attorneys' fees — made by any third party due to or arising out of:

Your breach of these Terms of Service
Your violation of any law or the rights of a third party
Your use of the Service, including any AI-generated financial content
Content you submit or transmit through the Service
Any financial decisions made based on information from the Service

14. Severability & Termination

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be severed from these Terms without affecting the validity of remaining provisions.

These Terms are effective unless terminated by either party. You may terminate at any time by ceasing use of the Service and deleting your account. We reserve the right to terminate or suspend your access at any time for violation of these Terms, fraudulent activity, or as required by law.

15. Subscriptions, 14-Day Free Trial & Billing

14-Day Full-Access Free Trial

All new GigHerald accounts receive an immediate 14-day full-access free trial upon installation. No credit card or upfront billing information is required to activate the trial. During the 14-day period, users enjoy full and unrestricted access to all GigHerald Pro features, including unlimited clients, automated mileage tracking, online client self-booking web portal, proof-of-work photo timestamps, digital signature authorizations, Schedule C tax exports, and Sage AI Co-Pilot assistance.

Following the expiration of the 14-day trial period, continuing access to active scheduling, automated outreach, and Pro tooling requires an active subscription. Existing historical data remains securely preserved under your authenticated account.

GigHerald Pro Subscriptions

GigHerald Pro provides an ad-free, all-in-one operating system for solo operators and independent trade professionals. The following subscription tiers are available (prices in USD; subject to change with 30 days' advance notice to active subscribers):

Billing, Renewal & Cancellation

Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date. Charges are billed securely through your Google Play Store or Apple App Store account (managed via RevenueCat). To cancel, open your device's app store subscription settings (Google Play Store → Account → Subscriptions or Apple ID → Subscriptions → GigHerald) and select Cancel. Cancellation takes effect at the conclusion of the current paid billing period — you retain Pro access until then. No partial refunds are issued for unused subscription time.

16. Ad-Free Professional Standard

GigHerald is built as dedicated business software for solo trades and service operators. GigHerald does not inject intrusive banner ads, full-screen video ads, or gaming popups into your workflow during your active trial or Pro subscription. While legacy versions of the app may have referenced Google AdMob ad networks, modern builds prioritize a focused, distraction-free environment.

17. App Permissions & Operational Protections

GPS Location & Mileage Tracking

When you initiate an active shift or drive tracking session, GigHerald requests foreground device location access to calculate driving distance, duration, and IRS standard mileage deductions ($0.67/mile). Location is recorded strictly during active shift sessions and is not monitored in the background when shifts are inactive. Mileage logs are stored in your secure account. While GigHerald utilizes high-accuracy GPS delta tracking, users are ultimately responsible for reviewing and verifying mileage logs for IRS Schedule C compliance.

Camera & Storage (Receipts & Proof-of-Work)

The receipt scanning, expense capture, and proof-of-work photo features require camera and storage access. Photos taken for proof-of-work and customer digital signatures are securely stored under your authenticated account to protect against payment disputes, chargebacks, and non-payment. Images are never shared or sold to third parties.

Client Outreach & SMS Drafts

GigHerald provides 1-tap client communication, cancellation recovery drafts, and appointment reminders by launching your device's native messaging application via standard system URIs (sms:). GigHerald does not send automated background SMS, does not access your private SMS inbox, and does not operate as an automated telemarketing or SMS spam service. All communications are reviewed, approved, and initiated directly by the user from their native mobile carrier.

Device Contacts (Voluntary Client Import)

GigHerald allows optional, on-demand importing of contact details (name, phone, address) directly from your device phonebook to streamline adding clients. Contacts are accessed only upon your explicit tap, are imported strictly to your private, authenticated account, and are never harvested, shared, or sold to third parties.

Sage Autonomous AI Co-Pilot

Sage AI provides business coaching, schedule analysis, and outreach suggestions powered by generative AI (Google Gemini). All insights, pricing suggestions, and tax calculations are optimization estimates provided for educational and business convenience purposes only. Sage is not a certified CPA, licensed financial advisor, or attorney. Users should consult licensed professionals for legally binding tax filings or contracts.

18. Intellectual Property

All software, design, branding, and content within the App (excluding user-generated data) is the intellectual property of Fitcrafts LLC. You may not reproduce, distribute, or modify any portion of the App without express written permission from Fitcrafts LLC.

GigHerald is an independent platform. We are not affiliated with, licensed by, or endorsed by Uber, DoorDash, Lyft, Instacart, Upwork, Fiverr, or any other platform referenced within the Service.

19. Privacy

Your use of GigHerald is also governed by our Privacy Policy, which explains what data we collect, how we use it, and how we protect it. By accepting these Terms, you also accept our Privacy Policy.

20. International Users

GigHerald is operated from the United States. If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

EU/GDPR Users: You have rights to access, correct, delete, and port your data. Contact: admin@gigherald.com

U.S. State Privacy Rights (Texas, California, etc.): We do not sell personal information, sensitive data, or financial data as defined under the TDPSA, CCPA, and other applicable state laws.

21. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Harris County, Texas.

Any disputes arising from these Terms shall be subject to binding arbitration administered by the American Arbitration Association (AAA), subject to the Class Action Waiver in Section 12, except where prohibited by law or for matters involving intellectual property or data privacy violations.
